Overview

  • Economic and social context - why the problems of company law are similar in most developed countries.
  • The economic and business significance of company law.
  • Limited Liability and Corporate Personality (incl. corporate groups)
  • The corporate power structure (Directors vs Shareholders)
  • Corporate objective - shareholder value theories versus stakeholder theories
  • Corporate finance & secured credit
  • National company laws and forum shopping
  • Key concepts of capital markets law (market abuse and the role of gatekeepers)

In all cases examples will be taken from more than one jurisdiction, though all learning material will be in English. The aim is not to ensure that students know what answers a particular system adopts, but to ensure that they understand the problems which arise and can critically discuss the ranges of possible solutions, using solutions actually adopted as a basis for critical discussion.

Aims

To examine fundamental concepts in corporate and capital markets law in a way which is effective across different systems and legal cultures.

Learning outcomes

Students will be familiar with the major problems commonly encountered in company law systems and will have been exposed to a range of possible solutions to them.
